Cancellation, Return, and Refund Policy

This policy applies to products and services purchased directly from Mema’s Inclination LLC (“Mema,” “we,” “us,” or “our”), including seeds, meat and other food products, wool and fiber products, live animals, cold-storage services, pickup, shipping, delivery, transportation, and related farm services.

Different rules apply to certain products and services because of food safety, perishability, biosecurity, customization, animal welfare, reserved capacity, and services already performed.

Product listings, order confirmations, reservations, invoices, and signed agreements may contain additional terms. If a product-specific or signed agreement conflicts with this general policy, the more specific terms disclosed and accepted before purchase will control.

Nothing in this policy limits a right or remedy that cannot legally be limited.

Proof of Purchase and Return Authorization

A return, cancellation, replacement, credit, or refund request must include reasonable proof of purchase, such as an order number, receipt, or invoice.

Depending on the request, Mema may also require:

  • Photographs or video;
  • Packaging and shipping labels;
  • Seed or product lot numbers;
  • Animal identification and veterinary records;
  • Temperature or storage information; or
  • Other information reasonably needed to investigate the request.

Contact Mema before returning, shipping, delivering, or transferring any product or animal back to us.

A return authorization permits Mema to receive and inspect an item. It does not guarantee that a refund, credit, or replacement will be approved.

Unauthorized returns may be refused. Mema is not responsible for the loss, damage, deterioration, shipping expense, or lawful disposition of an unauthorized return.

General Order Cancellations

Orders for eligible nonperishable products may be canceled for a full refund before the order has been packed, prepared, customized, shipped, or made available for pickup.

Cancellation is not guaranteed after fulfillment has begun.

The following ordinarily cannot be canceled once preparation, allocation, reservation, or performance begins:

  • Meat, frozen food, and other perishable products;
  • Live animals and animal reservations;
  • Custom, personalized, altered, or made-to-order products;
  • Custom-processed wool or fiber;
  • Special-order products;
  • Reserved cold-storage capacity;
  • Services already performed;
  • Transportation after dispatch;
  • Veterinary work, testing, permits, or third-party services already ordered; and
  • Products identified as Final Sale before purchase.

If Mema voluntarily approves a cancellation after fulfillment begins, the refund may be reduced by reasonable expenses already incurred. These may include disclosed preparation, processing, packaging, handling, storage, shipping, veterinary, permit, transportation, labor, and third-party charges.

Eligible Nonperishable Products

Unused and unopened nonperishable merchandise may be returned within 30 days after delivery or pickup when it is:

  • In its original condition;
  • In its original packaging;
  • Clean, complete, and undamaged;
  • Suitable for safe resale; and
  • Accompanied by proof of purchase.

Mema may inspect a returned product before approving a remedy.

Unless the return resulted from Mema supplying an incorrect or materially defective product:

  • The customer is responsible for authorized return shipping;
  • Original shipping, delivery, and handling charges are nonrefundable; and
  • The customer bears the risk of loss during return shipment until Mema receives the product.

Customer preference, reasonable natural variation, minor cosmetic differences, or characteristics accurately disclosed before purchase do not necessarily make a product defective.

Seeds

Unopened seed packages may be returned within 30 days after delivery or pickup if they remain sealed, undamaged, properly stored, and suitable for resale.

Opened seed packages are not returnable because their identity, contents, storage conditions, handling, and possible contamination can no longer be verified.

Seed performance depends on conditions outside Mema’s control, including:

  • Soil composition and preparation;
  • Temperature and weather;
  • Moisture and irrigation;
  • Planting date, depth, and method;
  • Storage before planting;
  • Pests, wildlife, and disease; and
  • Cultivation and growing practices.

A concern involving seed identity, labeling, package contents, or germination must be reported promptly and include:

  • Proof of purchase;
  • The variety and lot information;
  • Photographs of the package and label;
  • The planting date and method;
  • The approximate quantity planted; and
  • A description of storage and growing conditions.

Mema does not guarantee a particular crop yield, harvest quantity, commercial result, or performance under conditions outside our control.

Any express warranty printed on the original seed label or product listing will be handled according to its stated terms. This section does not limit rights involving mislabeled or legally defective seed.

Meat, Frozen Food, and Other Perishable Products

Meat, frozen products, and other perishable foods are Final Sale. They cannot be returned to inventory or resold after delivery or pickup.

Customers must inspect perishable products immediately. If an order is incorrect, leaking, damaged, thawed, improperly sealed, or appears unsafe:

  1. Do not consume, sell, serve, or distribute the affected product.
  2. Keep the product and packaging safely isolated and temperature-controlled when reasonably possible.
  3. Notify Mema on the same day the product was received.
  4. Provide photographs, the order number, packaging information, and a description of the condition.
  5. Preserve the product and packaging until Mema provides instructions, unless disposal is immediately necessary for safety.

Failure to provide timely notice or reasonable documentation may prevent Mema from verifying the condition or pursuing a carrier, processor, supplier, or insurance claim.

Once the customer or the customer’s representative accepts possession, the customer is responsible for proper transportation, handling, refrigeration, freezing, and storage.

Mema does not provide refunds for deterioration occurring after transfer of possession due to:

  • Delayed pickup;
  • Missed or refused delivery;
  • Improper customer transportation;
  • Leaving products unattended;
  • Thawing and refreezing;
  • Customer power loss or equipment failure;
  • Mishandling; or
  • Failure to maintain safe temperatures.

Wool, Fiber, and Handmade Products

Unused, clean, and unaltered standard wool, yarn, fiber, and finished goods may be returned within 30 days when they remain in their original condition and packaging.

The following are Final Sale unless incorrect or materially defective:

  • Washed, worn, used, soiled, cut, spun, dyed, felted, or altered products;
  • Custom colors, blends, weights, or dimensions;
  • Personalized products;
  • Customer-supplied fiber after processing begins;
  • Fiber processed according to customer instructions; and
  • Products identified as Final Sale before purchase.

Wool and other natural fibers may vary in color, texture, staple length, weight, softness, vegetable matter, and appearance. Reasonable natural variations are not defects.

Custom processing may result in normal weight or fiber loss from skirting, washing, carding, spinning, or removing unsuitable material.

Live Animals

Live animals are not ordinary returnable merchandise. Every animal sale is subject to the applicable listing, health disclosures, reservation terms, identification records, pickup requirements, transportation requirements, and signed animal sales agreement.

The applicable animal sales agreement must be signed before ownership or possession transfers.

Unless that agreement expressly provides otherwise:

  • Deposits and reservation payments are governed by the written terms disclosed before payment;
  • A buyer who cancels, fails to pay, or fails to complete pickup may lose the reservation and applicable deposit to the extent permitted by the agreement and law;
  • An animal may not be returned, delivered, abandoned, released, or transferred onto Mema’s property without prior written authorization;
  • Transportation, testing, registration, veterinary, permit, and third-party charges already incurred are nonrefundable;
  • The buyer is responsible for suitable housing, care, containment, nutrition, biosecurity, and lawful transportation after transfer;
  • Concerns involving identity, sex, registration, health, or agreed characteristics must be reported promptly with supporting records; and
  • Veterinary expenses require prior written authorization if reimbursement is requested, except when immediate care is reasonably necessary to protect the animal’s welfare.

When immediate veterinary care is necessary, the animal’s welfare takes priority. The buyer must notify Mema as soon as reasonably possible and preserve all examination findings, diagnostic results, treatment records, invoices, and veterinarian contact information.

No statement about breeding, fertility, temperament, registration, health, production, or future performance is guaranteed unless expressly stated in the signed animal sales agreement.

If Mema cancels a sale before the animal is transferred, payments received for the animal and unperformed services will be refunded. Unless required by law or agreed in writing, Mema is not responsible for unrelated travel, housing, equipment, veterinary, lost-income, or other collateral expenses incurred by the buyer.

Cold-Storage Services

Cold storage is governed by this policy and a separate signed storage agreement. The storage agreement controls custody, access, insurance, claims, nonpayment, emergency procedures, and responsibility for stored products.

Storage rates and billing

  • Storage is billed monthly at the published or agreed rate.
  • A $40 minimum monthly charge applies per farm.
  • Any partial month is billed as one full month.
  • Charges are based on the number and size of boxes accepted.
  • Additional handling and pickup visits are charged separately.
  • Storage remains subject to confirmed capacity and applicable regulatory requirements.

Cancellation before drop-off

A cold-storage reservation qualifies for a full refund only when:

  • Mema receives written cancellation at least 72 hours before the scheduled drop-off; and
  • No pickup, transportation, inspection, handling, labeling, preparation, or storage service has been performed.

A cancellation is not effective until Mema confirms receipt in writing by email, text message, or another written method.

Cancellations received less than 72 hours before the scheduled drop-off are nonrefundable and may be subject to the $40 minimum monthly charge because storage capacity was reserved and may not be reasonably reassigned.

Pickup, transportation, inspection, handling, preparation, third-party, and other service charges already incurred are nonrefundable.

After storage begins

Storage fees are earned and nonrefundable once products are accepted and the monthly storage period begins.

Removing products before the end of a billing month does not qualify for a full or prorated refund.

Scheduled pickup, additional access, handling, and transportation charges are nonrefundable once performed.

Products presented for storage

Products must arrive fully frozen, securely sealed, and clearly labeled. Each box must identify the farm, its contents, and the storage date.

Mema may refuse products that:

  • Are not fully frozen;
  • Are leaking, damaged, contaminated, or improperly sealed;
  • Lack required labels or traceability information;
  • Exceed stated box dimensions or weight limits;
  • Differ materially from the reservation;
  • Present a safety, sanitation, legal, regulatory, or operational concern; or
  • Arrive without a confirmed appointment.

Mema may inspect exterior condition, packaging, temperature, dimensions, labels, and box count. Acceptance into storage does not certify the underlying contents, quality, safety, legal status, or condition before delivery.

If products are refused before storage begins, prepaid storage fees will be refunded unless reserved-capacity or late-cancellation charges apply. Pickup, transportation, inspection, handling, and third-party charges already incurred remain nonrefundable.

Customers remain responsible for:

  • Ownership and authority to store the products;
  • Product condition before delivery;
  • Accurate contents and labeling;
  • Lawful production and regulatory compliance;
  • Suitable packaging;
  • Product-specific records; and
  • Adequate insurance.

Claims involving loss, damage, temperature, contamination, or product quality are governed by the signed storage agreement and applicable law.

A refund of storage fees does not establish fault or liability for the value of stored products.

Shipping and Delivery

Customers are responsible for providing a complete and accurate address and arranging timely receipt of an order.

Customers must report:

  • Missing shipments promptly after the expected delivery date;
  • Visible shipping damage immediately;
  • Perishable-product concerns on the day of delivery; and
  • Nonperishable-product concerns within seven days after delivery.

The customer must preserve the product, shipping container, labels, packing materials, tracking information, and photographs while a claim is reviewed.

Mema may require reasonable cooperation with the carrier, insurer, processor, supplier, or payment provider before approving a claim.

When a carrier loses or damages a shipment, Mema may pursue a carrier claim and provide an appropriate remedy after verifying the loss. Assisting with a claim does not constitute an admission that Mema caused the loss.

Additional costs resulting from an incorrect address, refused delivery, missed delivery, failure to retrieve a shipment, unsafe delivery location, or failure to receive a perishable order are the customer’s responsibility to the extent permitted by law.

Shipping, handling, and delivery charges are nonrefundable after performance unless the charge resulted from Mema’s error or must be refunded by law.

Farm Pickup

Customers should inspect products when practical at pickup.

Acceptance without noting visible damage may affect Mema’s ability to verify a later claim, but it does not waive rights that cannot legally be waived.

Orders not collected at the agreed time may require rescheduling and may incur disclosed storage, handling, feeding, boarding, or transportation charges.

Perishable products and live animals cannot be held indefinitely. The applicable listing or agreement will specify pickup deadlines, continuing charges, cancellation rights, and lawful procedures for products or animals not collected.

Transportation and Hauling

Transportation, hauling, livestock delivery, product pickup, and similar charges become earned and nonrefundable when dispatch begins or the service is performed.

Cancellation before dispatch may qualify for a refund, less disclosed preparation, reservation, permit, veterinary, carrier, labor, mileage, and third-party expenses already incurred.

Customers are responsible for providing accurate information about:

  • Pickup and delivery locations;
  • Access and road conditions;
  • Product quantity, weight, and condition;
  • Animal identity, health, handling needs, and fitness for transportation;
  • Required permits, records, and destination requirements; and
  • Unusual risks or special equipment needed.

Additional charges caused by inaccurate information, inaccessible locations, unsafe conditions, customer delay, failed pickup or delivery, or a requested change may be billed when disclosed and accepted.

Mema may refuse or discontinue transportation when conditions appear unsafe, unlawful, inhumane, or materially different from those disclosed. Charges for the portion already performed and reasonable costs already incurred remain payable.

Incorrect, Defective, or Damaged Products

If Mema supplies an incorrect eligible product or a product was materially defective or damaged when responsibility transferred, the customer must notify Mema within the applicable reporting period.

After reasonable review, Mema may provide one of the following remedies as appropriate and permitted by law:

  • Replacement;
  • Repair;
  • Refund;
  • Partial refund; or
  • Account credit accepted by the customer.

Mema may select an appropriate remedy based on the product, nature of the issue, safety considerations, availability, applicable agreement, supplier or carrier obligations, and governing law.

Approval of a refund, replacement, repair, or credit is not an admission of negligence, wrongdoing, or liability.

Final-Sale Products and Services

Unless incorrect, materially defective, covered by an express written agreement, or otherwise protected by law, the following are Final Sale:

  • Meat, frozen food, and other perishable products;
  • Opened seeds;
  • Live animals;
  • Custom, personalized, altered, or made-to-order products;
  • Custom-processed wool or fiber;
  • Gift cards, except where redemption or refund is required by law;
  • Services already performed;
  • Completed shipping, delivery, pickup, or transportation;
  • Reserved capacity or appointments subject to disclosed cancellation terms; and
  • Products identified as Final Sale before purchase.

A discounted price alone does not make a product Final Sale unless that condition was disclosed before purchase.

Suspected Fraud or Policy Abuse

Mema may refuse a return, refund, replacement, credit, or future transaction when there is reasonable evidence of:

  • Fraud;
  • Material misrepresentation;
  • Product substitution;
  • Tampering;
  • Abuse of the return process;
  • A knowingly false claim;
  • An unauthorized payment dispute; or
  • Repeated violation of applicable agreements.

This provision does not prevent a customer from exercising a legitimate legal right or disputing a charge in good faith.

Billing Errors

Report suspected billing errors within 30 days after the charge appears.

If Mema confirms that a charge was incorrect, Mema will correct it and issue any required refund. This reporting period does not eliminate a right that cannot legally be limited.

Refund Processing

Approved refunds will ordinarily be issued to the original payment method.

Please allow approximately 5–10 business days after processing for the refund to appear. Banks and payment providers control posting times, and Mema cannot guarantee when a financial institution will post the funds.

Applicable sales tax associated with a refunded taxable charge will also be refunded.

Cancellations by Mema

If Mema cannot provide a confirmed product or service, Mema may offer:

  • An appropriate substitution;
  • A revised schedule;
  • An account credit accepted by the customer;
  • A partial refund; or
  • Cancellation and refund of the unavailable product or unperformed service.

Unless required by law or expressly agreed in writing, Mema is not responsible for unrelated travel, lodging, lost income, substitute purchases, or other collateral expenses incurred by the customer.

No Waiver

Mema’s decision to approve a return, refund, replacement, extension, or exception in one situation does not require Mema to provide the same exception in another situation.

Failure to enforce a provision immediately does not waive Mema’s right to enforce it later.

Website Acceptance

Customers purchasing through Mema’s website must affirmatively accept this policy and other applicable terms before completing checkout.

The checkout acceptance box will not be selected in advance. The customer must select it to confirm acceptance.

Cold-storage customers must also acknowledge:

I understand that cold storage has a $40 minimum monthly charge, partial months are billed as full months, and cancellations require at least 72 hours’ written notice before the scheduled drop-off to qualify for a refund.

Mema may retain an electronic record of the policy version accepted, the date and time of acceptance, the associated order, and applicable product-specific terms.

Changes to This Policy

Mema may revise this policy prospectively.

The version presented to and accepted by the customer at the time of purchase governs that transaction unless Mema and the customer later agree otherwise in writing.
